These Terms and Conditions (“Agreement”) govern your use of services provided by True Vision Contracting Company (“TVC,” “we,” “us,” or “our”) and form a legally binding contract between you (“Client,” “you,” or “your”) and TVC. By engaging our services, you agree to be bound by this Agreement.

Definitions

- “Services” means all design, fabrication, installation, testing, commissioning, and maintenance of control panels and electrical systems as detailed in Section 3.
- “Deliverables” means any reports, drawings, panels, assemblies, or documentation provided to the Client.
- “Site” means the location where Services are performed.

Scope of Services

TVC provides the following Services:

Panel Fabrication & Integration: LT & MV control panels (e.g., MCC, PCC, UPS, VFD, DDC, SCADA, PFC panels).
Electrical Services: MEP electrical design, cable installation (LV/MV), fire & safety systems, lighting, earthing, generator cabling, RMU & substation installation, BMS, power factor correction, CCTV & telecommunication systems.
Engineering Standards: Per BS 7671, IEC, IEEE, NEMA, UL, ANSI, using AutoCAD, Revit, DIALux, Excel, etc.

Any work outside this scope must be agreed in writing via a change order.

Client Obligations

Site Access: Client will grant TVC full access to the Site and provide any necessary permits, approvals, and safety instructions.
Information & Cooperation: Client must supply accurate project specifications, HSSE (Health, Safety, Security & Environment) requirements, and timely decisions.
Utilities & Infrastructure: Client is responsible for providing power, water, and other utilities at the Site unless otherwise agreed.

Fees & Payment

Quotation: Fees are as per TVC’s written quotation and accepted purchase order.
Invoices: TVC will issue progress invoices based on milestones or time-and-materials.
Payment Terms: Payment due within 30 days of invoice date. Late payments incur a 1.5% monthly interest charge.
Taxes: All fees exclude VAT or other applicable taxes unless stated otherwise.

Change Orders

Any variations to scope, schedule, or cost must be documented in a written change order signed by both parties. TVC is not liable for delays or additional costs arising from unauthorized changes.

Delivery & Acceptance

Delivery: TVC will deliver Deliverables to the Site or designated location.
Inspection & Testing: Client has 7 days to inspect and test panels and systems. Acceptance is deemed upon successful testing or lapse of the inspection period.
Rejection: If Deliverables fail to conform, TVC will, at its option, repair or replace non-conforming items within a reasonable timeframe.

Intellectual Property

Ownership: TVC retains all intellectual property rights in designs, drawings, software, and methodologies.
License: Upon full payment, TVC grants Client a non-exclusive, non-transferable license to use Deliverables for the intended project only.

Confidentiality

Each party shall keep confidential all proprietary information disclosed by the other. Confidential information may only be used for the performance of this Agreement and may not be disclosed to third parties without prior written consent, except as required by law.

Warranties & Disclaimers

Limited Warranty: TVC warrants that Services will conform to agreed specifications for 12 months from acceptance.
Exclusions: Warranty does not cover defects arising from misuse, unauthorized modifications, Acts of God, or Client-supplied materials.
Disclaimer: Except as expressly provided, TVC disclaims all other warranties, whether express or implied, including merchantability and fitness for a particular purpose.

Limitation of Liability

To the fullest extent permitted by Saudi law, TVC’s total liability under this Agreement shall not exceed the total fees paid by Client for the Services giving rise to the claim. TVC shall not be liable for any indirect, incidental, or consequential damages, including loss of profit or business interruption.

Indemnification

Client agrees to indemnify and hold harmless TVC, its officers, employees, and subcontractors from any third-party claims, damages, or expenses arising out of Client’s negligence, breach of this Agreement, or violation of applicable law.

Termination

For Convenience: Either party may terminate upon 30 days’ written notice; Client shall pay for Services performed and irrevocable commitments made up to the termination date.
For Cause: Either party may terminate immediately if the other breaches a material provision and fails to cure within 14 days of written notice.

Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control (e.g., natural disasters, war, strikes, governmental actions). The affected party must notify the other promptly and resume performance once the force majeure event ends.

Governing Law & Dispute Resolution

Governing Law: This Agreement is governed by the laws of the Kingdom of Saudi Arabia.
Dispute Resolution: Parties shall first seek amicable resolution through good-faith negotiations. If unresolved within 30 days, disputes shall be referred to arbitration under the Saudi Center for Commercial Arbitration (SCCA) Rules. The arbitration seat is Riyadh, and proceedings are in English or Arabic.

General Provisions

Entire Agreement: This Agreement, together with any referenced documents, constitutes the entire understanding between the parties and supersedes prior agreements.
Amendments: Any modification must be in writing and signed by both parties.
Severability: If any provision is held invalid, the remainder shall remain in full force.
Assignment: Client may not assign this Agreement without TVC’s prior written consent.
